By accessing and using Earlist ("Service," "we," "us," "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Earlist's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Attempt to decompile or reverse engineer any software contained on Earlist

5. Accuracy of Materials

The materials appearing on Earlist's website could include technical, typographical, or photographic errors. Earlist does not warrant that any of the materials on Earlist's website are accurate, complete, or current. Earlist may make changes to the materials contained on its website at any time without notice.

Earlist has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Earlist of the site. Use of any such linked website is at the user's own risk.

7. Modifications

Earlist may revise these terms of service for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Earlist operates, and you irrevocably submit to the exclusive jurisdiction of the courts located in that location.

9. Service Availability

Earlist strives to maintain continuous service but makes no guarantees about uptime or availability. We may perform maintenance, upgrades, or security updates that may result in temporary service interruptions. We will attempt to minimize disruption and provide advance notice when possible.

10. User Responsibilities

You agree to:

• Provide accurate, complete, and current information in your account
• Maintain the confidentiality of your password
• Accept responsibility for all activities under your account
• Monitor and check the accuracy of reported information regularly
• Use the Service only for lawful purposes and in accordance with these terms
• Not use the Service for competitive intelligence on organizations without their knowledge or consent (where legally required)

11. Data Monitoring

Earlist monitors competitors and public data sources based on URLs and domains you provide. We collect information from publicly available sources including websites, social media, app stores, and review platforms. You are responsible for ensuring your monitoring activities comply with all applicable laws and regulations.

12. Paid Subscriptions

12.1 Billing

• Billing occurs at the beginning of each billing period
• Monthly subscriptions renew on the same calendar date each month
• Annual subscriptions renew on the anniversary of your start date
• Payment must be made in advance

12.2 Price Changes

We may change our subscription prices with 30 days' notice. Changes will take effect at your next renewal. Founding members who signed up before launch maintain their original pricing indefinitely.

12.3 Automatic Renewal

Paid subscriptions renew automatically unless you cancel. You can cancel your subscription anytime from your account settings with no questions asked.

13. Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for unused portions of your billing period (see Refund Policy for details).

14. Intellectual Property Rights

All materials on Earlist's website, including text, graphics, logos, and software, are the property of Earlist or its content suppliers and are protected by international copyright laws. You retain ownership of any content you submit, but grant Earlist a perpetual, worldwide license to use it.

15. Limitation of Liability

In no case shall Earlist, its directors, officers, or employees be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

16. Indemnification

You agree to indemnify and hold harmless Earlist from and against any and all claims, liabilities, damages, and costs (including legal fees) arising from your violation of these terms or your use of the Service.

17. Termination

Earlist may terminate or suspend your account and access to the Service at any time, in its sole discretion, if you violate these terms or for any other reason without liability.
